1 GENERAL & DEFINITIONS
1.1 These Terms are the only Terms on which Aero Industrial Products (“the company”) contracts to the customer.
1.2 Goods means all components, parts or goods or other products to be sold by the company to the customer whether or not supplied in conjunction with work to be done by the company.
1.3 The customer will be deemed to have accepted these Terms of Business if he gives instructions by any means for work to be carried out or goods supplied.
1.4 Dimensions and Measurements shown in this catalogue are fore guidance purposes only.
2 VARIATIONS
2.1 Any variations agreed between the company and the customer in work to be carried out or goods to be supplied shall be deemed to be an amendment to this contract and shall not constitute a new contract.
3 TIME
3.1 The company will use its best efforts to carry out work or supply goods within anytime period notified to the customer. However time will not be of the essence of the contract.
4. COMPLETION OF WORK & PAYMENT
4.1 All goods shall be paid for upon delivery unless time for payment has been agreed or credit has been extended in advance.
4.2 Where specifications are to be supplied the customer shall supply such specifications in reasonable time to enable the company to complete delivery within the period named.
4.3 An interest rate of 5% per month (apportional by the day) will accrue on all overdue payments.
5. DELIVERY
5.1 Unless otherwise agreed in writing, delivery of goods shall be ex the company’s premises.
6 RETENTION OF TITLE & RISK
6.1 Goods are at the risk of the customer as soon as the company delivers them to the customer.
6.2 The property of the goods shall remain with the company until payment has been received in full in accordance with the terms on which the goods are supplied. If such payment is overdue in whole or in part the company may (without prejudice to any of its other rights) recover or re-sell the goods or any of them.
6.3 The customers right to possession shall cease if he, not being a company, commits an available act of bankruptcy or if he, being a company, does anything or which would entitle a receiver to take possession of any assets or which would entitle any person to present a petition for winding-up. The company may for the purpose of recovery of the goods under Clauses 6.2 and 6.3 hereof enter upon the customers or any other premises where they are stored or where they are reasonably thought to be stored and repossess the same.
7. RETURNED GOODS
7.1 Goods represented by the customer to be defective shall not form the subject of any claim by the customer or for any less damage or expense whatsoever arising directly or indirectly from such defects, but goods will be accepted back for credit provided.
7.1.1 The customer returns goods within 5 working days of delivery and;
7.1.2 The customer pays the company’s handling charges for returned goods and;
7.1.3 The goods were not specially ordered by the customer;
7.2 Save as aforesaid goods will not be accepted back by the company;
7.3 Defects in quality or dimensions in any delivery shall not be a ground for cancellation of the remainder of the order of contract;
8. CONDITIONS & WARRANTIES
8.1 No condition is made or to be implied nor is any warranty given or to be implied as to the life or wear of the goods supplied or that they will be suitable for any particular purpose or for use under any specific conditions unless in the case of the latter such purpose or conditions have been made known in writing to the company.
9 HEALTH & SAFETY
9.1 Notice is hereby given to the customer that the instructions for use, cautionary notices and other technical notices and information are supplied by the customer.
10. INDEMNITY
10.1 The customer shall indemnify the company against all damages, penalties, cost and expenses to which the company may become liable as a result of work carried out in accordance with the customers specification which involves the infringement of any letters patent or registered design
